BLLP’s expertise in this area is exclusive to the remodeling and home improvement space.  We assist clients in identification of M&A targets from both the buy-side and the sell-side and handle the negotiation, due diligence and closing of the transactions in both the private and public arenas.  Given the nature of the industry, M&A transactions almost never exceed a $200 million enterprise value, and outside of the manufacturing realm tend to focus more on local and regional contractor opportunities ranging from $5 million to $50 million. Although we work with many accounting firms on such matters, we maintain specific relationships with tax partners at Moss Adams LLP, Ernst & Young LLP and Marcum LLP, who we can trust to understand the unique accounting issues that pertain to manufacturing and in-home sale operations.

As part of this work we are well-versed in accompanying commercial transactions (corporate structuring for inter-state operations, leases, loan assignments, etc.) but our expertise is best utilized in being able to identify the unique issues that arise within M&A work for this industry – issues almost always overlooked by law firms and accounting firms that lack experience in this field.  As such, we are often retained by various venture capital and private equity firms to oversee their due diligence procedures and advise on industry-specific issues via legal opinions and on-site analysis.
